Non-Disclosure Agreement (NDA)

At sPrinting, we value the trust our clients place in us and are committed to maintaining the confidentiality of all sensitive information shared with us during the course of our services. This Non-Disclosure Agreement (NDA) outlines our confidentiality obligations to ensure that your proprietary information remains secure.

1. Confidential Information

Confidential Information includes any and all technical, business, or personal information shared between sPrinting and the Client. This may include, but is not limited to:

  • Product designs and specifications
  • 3D prototypes and models
  • Production techniques and methods
  • Business plans and strategies
  • Financial information and client lists
  • Any information designated as confidential by the Client

2. Purpose

The Confidential Information will be used solely for the purpose of providing the agreed-upon 3D printing, prototyping, or related services. sPrinting will not disclose, reproduce, or use the Confidential Information for any other purpose without the Client’s written consent.

3. Obligations

sPrinting agrees to:

  • Keep all Confidential Information secure and private.
  • Use the Confidential Information only for the purposes of the agreed services.
  • Not disclose Confidential Information to third parties without prior written consent from the Client, except as required by law.

4. Exclusions

The obligations outlined in this NDA do not apply to any information that:

  • Was already in the public domain prior to disclosure.
  • Becomes publicly available through no fault of sPrinting .
  • Was in sPrinting possession without restriction prior to the Client’s disclosure.
  • Is disclosed by Sprinting with the Client’s written approval.

5. Term

This NDA remains in effect for the duration of the business relationship between sPrinting and the Client, and for a period of two (2) years after the termination of that relationship.

6. Return or Destruction of Information

Upon request, sPrinting will promptly return or destroy any and all Confidential Information provided by the Client, including all copies, materials, and electronic records containing the information.

7. Governing Law

This NDA is governed by the laws of the State of [California], without regard to its conflict of laws principles.

8. Dispute Resolution

Any disputes arising under this NDA will be resolved through binding arbitration in accordance with the rules of the [Arbitration Association].
